Item 8.01 Other Events

As described as follows, our Company has entered into a transaction with Chucks Vintage Inc. Our company is acquiring an interest in Chucks Vintage.

Our Company’s current sole Director and officer is resigning, A new interim director and officer, a nominee by Chucks Vintage to fill the empty seat on the board and to be interim CEO will be installed within the next approximately one week or less.
