Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2022, Mr. Guy Dubois, the current Chairman of the Board of Directors of Track Group, Inc. (the “Company”) resigned from his position as a member of the Board of Directors of the Company, and as Chairman, effective December 31, 2022. Mr. Dubois’ resignation from the Board of Directors is not due to any disagreement with respect to the Company's operations, policies, or practices.
