Item 8.01 Other Items.

Solar Energy Initiatives, Inc. (the “Company”) issued a press release on October 12, 2010 announcing that the Company intends to distribute shares of Solar Park Initiatives, Inc. (OTCBB: SOPV) and the Company intends to file a registration statement with the U.S. Securities and Exchange Commission. The Company is filing this Form 8-K to clarify that Solar Park Initiatives, inc. will be filing the registration statement in connection with the Company’s distribution of the shares.
