Purpose:

To set the number of directors at five;

To ratify and approve the appointment of Killman, Murrell & Company P.C. as the Companyβs independent auditors for the current fiscal year;

To approve the 2011 Stock Option Plan as more particularly described in the Proxy Statement;
5.
To approve an alteration of the share capital of the Company by way of a reverse stock split by consolidating all of the currently authorized share capital of 500,000,000 common shares without par value, of which 191,596,364 common shares are issued and outstanding, on a one new for fifteen old basis, resulting in an authorized share capital of 33,333,333 common shares without par value, of which 12,773,090 common shares will be issued and outstanding.

Subject to approval of the reverse stock split referred to in Item 5 above, to approve a subsequent alteration of the share capital of the Company by increasing the authorized capital of the Company from 33,333,333 common shares without par value to 500,000,000 common shares without par value, of which 12,773,090 common shares will be issued and outstanding.

To approve a change of name of the Company to βOculus VisionTech Inc.β or such other name as determined by the Board of Directors and is acceptable to the regulatory authorities; and

USA Video Interactive Corporation (NASDAQ: USVO)(OTCBB: USVO)(TSX VENTURE: US)(BERLIN: USF)(FRANKFURT: USF) today announced that based on the success of the customized deployment of its proprietary watermarking technology to Twentieth Century Fox Home Entertainment LLC (FOX) over the past year, the company has finalized negotiations to renew and expand the original contract between the two companies. After a year of customization and evaluation, FOX has acknowledged USA Video's watermarking technology to be a key component in identification and enforcement of video content, and plans to continue to utilize and expand the deployment of USA Video's MediaEscort and SmartMarks products within a number of FOX divisions, including FOX's international division.

Per the announced terms of this contract, USA Video shall be compensated by FOX for the time, effort, and resources expended in developing, at FOX's request, specific and customized uses of the technologies, for continued deployment to the referenced FOX divisions.

MediaEscort(TM) / Technical details:
In MediaEscort 1.2, this process was integrated with the DRM encoding module itself. Although the current mechanism allows for efficient processing of the video content ready for consumer distribution, it has certain drawbacks. Each license provider presents a unique way to register or activate the content. This limits the choices for the content owner to easily switch between license providers for various business/technical reasons. MediaEscort 1.5 eliminates this problem seamlessly.
Building on the infrastructure of the ME core, the license activation of the watermarked content is moved into its own process pipeline. This allows for the same administration module to configure the license activation process, which eventually is controlled by the monitor component in a completely seamless way. The process parameters for the activation can be configured for different license providers only once and then this configuration can be attached to any DRM pipeline with the full capability to switch between different providers online. Also, depending on the license provider's requirements, alternate configurations with different process parameters can be created and similarly attached to the same DRM pipeline, retaining the full capability for switching between them online.
This enhancement takes MediaEscort's already powerful infrastructure to a new level, fully capable to serve the changing business needs.
