DEREGISTRATION OF SECURITIES

 

This Post-Effective Amendment No. 1 to the Form S-8 Registration Statement (Registration No. 333-198288) (the “Registration Statement”) of Glori Energy Inc. (the “Company”), filed with the Securities and Exchange Commission on August 21, 2014, is being filed to deregister all of the shares of the Company’s securities that remain unsold under the Registration Statement. Pursuant to the Registration Statement, 2,314,626 shares (and an additional indeterminable number of shares as may be necessary to adjust the number of shares being offered or issued pursuant to the plans as a result of stock splits, stock dividends or similar transactions) of the Company’s common stock, par value $0.0001, relating to the Glori Oil Limited 2006 Stock Option and Grant Plan, as amended, were registered.
