Item 8.01 Other Events.

On December 15th, 2008, Torvec, Inc. received a New York State Corporation Income Tax refund in the amount of approximately $280,000, representing certain research and development expenses incurred in the years 2005-2007.

The company anticipates utilizing these funds to defray certain ongoing expenses as well as to implement existing requests for prototype technology.
