EXPLANATORY NOTE

This Report on Form 6-K/A amends and restates in its entirety the Report on Form 6-K (the "Original Form 6-K") furnished to the Securities and Exchange Commission on April 1, 2015 by Box Ships Inc. (the "Company") solely to incorporate by reference this Report on Form 6-K/A into the Company's registration statement on Form F-3 (File No. 333- 181076), filed with the U.S. Securities and Exchange Commission with an effective date of May 10, 2012, and into the Company's registration statement on Form F-3 (File No. 333- 190949), filed with the U.S. Securities and Exchange Commission with an effective date of December 20, 2013. No other changes have been made to the Original Form 6-K or the press release attached thereto as Exhibit 99.1.
