Revolving Commitment Percentage shall mean, for each Lender, the
percentage identified as its Revolving Commitment Percentage on Schedule 2.1(a) or in the Assignment and Assumption pursuant to which such Lender became a Revolving Lender hereunder, as such percentage may be modified in connection with any
assignment made in accordance with the provisions of Section 9.6(b).
Revolving Committed Amount shall have the
meaning set forth in Section 2.1(a)(i).
Revolving Credit Exposure shall mean, as to any Revolving Lender at any
time, the aggregate principal amount at such time of its outstanding Revolving Loans and such Revolving Lenders participation in LOC Obligations and Swingline Loans at such time.
Revolving Facility shall have the meaning set forth in Section 2.1(a)(i).
Revolving Facility Increase shall have the meaning set forth in Section 2.2(a).
Revolving Lenders shall mean, collectively, all of the Lenders with a Revolving Commitment or if the Revolving Commitment
has been terminated, all Lenders having Revolving Credit Exposure.
Revolving Loan Maturity Date shall mean,
September 30, 2028; provided that, if the Company elects the extension option under Section 2.22, upon satisfaction of the conditions set forth in such Section 2.22, the Revolving Loan Maturity Date shall be extended as set forth in
Section 2.22; provided, however, if such date is not a Business Day, the Revolving Loan Maturity Date shall be the next preceding Business Day.
Revolving Loans shall have the meaning set forth in Section 2.1(a)(i).
Revolving Note or Revolving Notes shall mean the promissory notes of the Company provided pursuant to
Section 2.1(a)(v) in favor of any of the Lenders evidencing any Revolving Loan provided by any such Lender pursuant to Section 2.1(a), individually or collectively, as appropriate, as such promissory notes may be amended, modified,
extended, restated, replaced, or supplemented from time to time.
S&P shall mean S&P Global Ratings, a division
of S&P Global, Inc.
Sanctions shall mean any and all economic or financial sanctions, sectoral sanctions,
secondary sanctions, trade embargoes and anti-terrorism laws, including but not limited to those imposed, administered or enforced from time to time by the U.S. government (including those administered by OFAC or the U.S. Department of State), the
United Nations Security Council, the European Union, His Majestys Treasury, or other relevant sanctions authority with jurisdiction over any Lender, the Company or any of its Subsidiaries or Affiliates.
Sanctioned Country shall mean at any time, a country or territory which is itself the subject or target of any Sanctions
(including, as of the Closing Date, Cuba, Iran, North Korea, Syria, Crimea, the so-called Donetsk Peoples Republic of Ukraine, the so-called Luhansk Peoples
Republic of Ukraine and the Zaporizhzhia and Kherson Regions of Ukraine).
Sanctioned Person shall mean, at any time,
(a) any Person described or listed in any Sanctions-related executive order or list of designated Persons maintained by OFAC (including, without limitation, OFACs Specially Designated Nationals and Blocked Persons List and OFACs
Consolidated Non-SDN List), the U.S. Department of State, the United Nations Security Council, the European Union, His Majestys Treasury, or other relevant sanctions authority, (b) any Person
operating, organized or resident in a Sanctioned Country or (c) any Person owned or controlled by any such Person or Persons described in clauses (a) and (b), including a Person that is deemed by OFAC to be a Sanctions target based on the
ownership of such legal entity by Sanctioned Peron(s).
