Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 3, 2023, the Board of Directors (the “Board”) of UGI Corporation (the “Company”) approved and adopted amendments to the Company’s Amended and Restated Bylaws (as amended and restated, the “Bylaws”) to implement proxy access, effective immediately. The Bylaws include a new Article IV, Section 4.16, which permits an eligible shareholder, or a group of up to twenty (20) eligible shareholders, owning at least three percent (3%) of the Company’s outstanding common stock continuously for at least three (3) years to nominate, and include in the Company’s annual meeting proxy materials, director nominees constituting up to the greater of (i) two (2) directors or (ii) up to twenty percent (20%) of the Board, provided that the shareholder(s) and the nominee(s) satisfy various additional terms, conditions, and requirements set forth in the Bylaws.

The amendments also include certain non-substantive conforming, clarifying, and updating changes to the Bylaws. The foregoing description of the amendments included in the Bylaws does not purport to be complete and is qualified in its entirety by reference to the complete text of the Bylaws, a copy of which is attached to this Current Report on Form 8-K as Exhibit 3.1 and incorporated by reference in this Item 5.03 in its entirety.
