Pursuant to the Fund's by-laws, each of Joe O. Rogers and Chih
T. Cheung are deemed to have tendered to the Board his
resignation as a Director, with such resignation to take effect 30
days after the date of the Meeting unless the Board unanimously
decides to reject that Director's tender of resignation, in which
case the Director shall continue in office until his death,
resignation or removal or until his successor shall have been
elected and shall have been qualified. The Board, including the
Nominating Committee of the Board, is considering the implications
of the failure of Joe O. Rogers and
Chih T. Cheung to be re-elected by
stockholders. Any determination made by the Board as a result of
those considerations will be communicated to stockholders.
The stockholders of the Fund also rejected the stockholder
proposal to amend the Fund's by-laws. The Fund reported that 28.24%
of the Fund's outstanding shares voted for the stockholder proposal
to amend the Fund's by-laws.
