Explanation of Responses:

The Form 3 originally filed on April 10, 2012 inadvertently reported ownership of 3,000 common shares of Northeast Utilities. The reporting person owned no common shares of Northeast Utilities on April 10, 2012. Instead, the reporting person owned 3,000 common shares of NSTAR, which subsequently converted to 3,936 common shares of Northeast Utilities upon the closing of Northeast Utilities' merger with NSTAR on April 10, 2012. The reporting person's acquisition of 3,936 common shares of Northeast Utilities upon the closing of the merger has been reported on a Form 4 filed on the same date as this Form 3/A.
