Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 3, 2020, Amplify Energy Corp. (the “Company”) filed a Current Report on Form 8-K (the “Original Filing”) announcing that, on January 30, 3020, Richard P. Smiley notified the Company of his intent to resign from his position as Senior Vice President, Operations. On April 10, 2020, following discussions with executive management and the board of directors of the Company, Mr. Smiley notified the Company that he will not resign from his position with the Company, as previously disclosed, and he will continue to serve as Senior Vice President, Operations of the Company.

The Company is filing this Amendment No. 1 on Form 8-K/A to amend the Original Filing to include the information set forth in this Item 5.02.
