Item 5.07 Submission of Matters to a Vote of Security Holders.

The 2022 Annual Meeting of Stockholders (the “Annual Meeting”) of Hyliion Holdings Corp. (“Hyliion” or the “Company”) was held on May 10, 2022. At the Annual Meeting:

•Stockholders elected the four nominees recommended by the Company’s board of directors to serve as Class II directors of the Company until the 2025 Annual Meeting of Stockholders or until their respective successors are elected and qualified;

•Stockholders ratified the selection of Grant Thornton LLP (the “Auditor”) to serve as the independent registered public accounting firm of the Company for the 2022 fiscal year ended December 31, 2022;

•Stockholders approved, on an advisory basis, the compensation of the Company’s named executive officers (“Say on Pay”); and

•Stockholders approved, on an advisory basis, the frequency of holding an advisory vote on the compensation of the Company’s named executive officers on an annual basis (“Say on Frequency”).
