InvestorPlaceβs own Robert Lakin did an excellent job of detailing the less-than-stellar initial public offering (IPO) early last month. Itβs a great primer for what happened to the company, which had the backing of the founders of Microsoft.

Black Rock wow. Looks like they filled to buy a shit load. Schedule 13G is an SEC form that is similar to Schedule 13D.
It is used to report a partyβs ownership of stock that is over 5% of a class of equity in a company. Schedule 13G is an optional short-form version of beneficial ownership disclosure statement and is intended for passive investors, exempt investors, and qualified institutional investors that are subject to Rule 13d-1(b).
To be able to file a 13G, the responsible party must own between 5% and 20% in the company. It must also be understood that the party acquiring the stake in a company is only a passive investor, and does not intend to exert control. If these basic criteria are not met, and if the size of stake exceed 20%, a Schedule 13D filing must be filed.
