ITEM 2.02    RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On October 26, 2022, Ashford Hospitality Trust, Inc. (the “Company”) issued a press release announcing its preliminary expectations for net loss attributable to common stockholders, Adjusted EBITDAre, and Adjusted FFO for the third quarter ended September 30, 2022. A copy of the press release is attached hereto as Exhibit 99.1.
