Explanation of Responses:
(1) The sales reported on this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person.
(2) Includes 1,688 shares of common stock and 8,225 restricted stock units. Each restricted stock unit represents the right to receive, upon vesting, one share of common stock. 1,407 restricted stock units will vest on March 9, 2023; 2,048 restricted stock units will vest evenly over two years on March 16, 2023 and March 16, 2024; and 4,770 restricted stock units will vest evenly over three years on March 15, 2023, March 15, 2024 and March 15, 2025. All such vests assume continued employment through the applicable vest date.
(3) The reporting person is exercising options that are presently exercisable. After giving effect to this transaction, the remaining options become exercisable evenly over two years on March 16, 2023 and March 16, 2024.
