Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 13, 2022, Manuel Rivera advised ShiftPixy, Inc. (“ShiftPixy” or the “Company”) of his decision to resign from his position as Treasurer and Acting Chief Financial Officer of ShiftPixy. Mr. Rivera’s resignation is effective at the close of business on December 16, 2022.

The Company plans to outsource the duties of the position, as necessary, until a suitable replacement is found.
