Redback Networks Inc. (Nasdaq:RBAK), a leading provider of next-generation broadband networking systems, today announced the addition of Beth Frensilli as vice president and general counsel. Reporting to the chief executive officer, Kevin DeNuccio, Ms. Frensilli will assume responsibility for worldwide legal affairs at Redback. Ms. Frensilli brings more than 15 years of legal experience, including most recently senior management positions at technology companies Commerce One, Inc. and Scient Corporation. In accordance with NASDAQ Marketplace Rule 4350, Redback granted inducement stock options for Ms. Frensilli. The options are classified as non-qualified stock options with an exercise price equal to fair market value on the date of grant and have a ten-year term. Ms. Frensilli's grant is for 100,000 shares and provides for 25 percent vesting of her shares upon completion of one year of service, with the balance vesting in monthly installments over 36 months, and a 12 month acceleration of vesting if the following events occur: 1) the Company experiences a change of control, and 2) within 12 months following such change of control, Ms. Frensilli experiences an involuntary termination or involuntary reduction in nature or scope of service to the Company.
