Item 5.02 Departure of Directors or Certain Officers; Election
of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As part of an enterprise initiative focused on achieving operational
efficiencies, MetaBank, National Association (the “Bank”), a wholly owned subsidiary of Meta Financial Group, Inc. (the “Company”,
together with the Bank, “Meta”), has terminated Kia S. Tang, the Bank’s Executive Vice President, Chief People and Inclusion
Officer, effective on May 6, 2022.
As an Executive Vice President sitting on the Executive Committee,
Ms. Tang is eligible to receive severance benefits under Meta’s Executive Severance Pay Policy (the “Severance Policy”)
subject to her compliance with certain covenants, including without limitation, covenants regarding non-disparagement and non-solicitation
as required by the Severance Policy.
The Company and the Bank thank Ms. Tang for her service and contributions
and wish her the best in her future endeavors.
