(2)	The deferred shares reported on Table II were previously earned under Issuer equity awards and previously reported in the Reporting Person's direct common shares holdings on Table I.
(3)	A deferred share is the economic equivalent of one Issuer common share. Deferred shares are payable in Issuer common shares pursuant to the Reporting Person's deferral election, but the Reporting Person may be authorized to transfer deferred shares into alternative investments, under the Issuer's 2005 Deferred Compensation Plan for Executives.
