Item 7.01 Regulation FD Disclosure.

On August 1, 2019, Icahn Enterprises L.P. issued a press release announcing the completion of the previously announced sale of its majority owned subsidiary, Ferrous Resources Limited, to Vale S.A. for total consideration of approximately $550 million (including repaid indebtedness). A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

On August 1, 2019, Icahn Enterprises L.P. announced that it had completed the previously announced sale of its majority owned subsidiary, Ferrous Resources Limited, to Vale S.A. for total consideration of approximately $550 million (including repaid indebtedness).
