On March 21, 2022, the
board of directors of First Internet Bancorp (the “Company”), at the recommendation of the compensation committee of the board
of directors, approved the First Internet Bancorp 2022 Equity Incentive Plan (the “Plan”), subject to shareholder approval.
On May 2, 2022, at the recommendation of the compensation committee, the board of directors approved an amendment and restatement
of the Plan, subject to shareholder approval. At the annual meeting of shareholders (the “Annual Meeting”) held virtually
via the Internet on May 16, 2022 (the “Effective Date”), the shareholders of the Company approved the Plan. As provided
in the Plan, 400,000 shares of common stock, no par value per share (“Common Stock”), are available for issuance under the
Plan, plus any Common Stock remaining available for future grants under the First Internet Bancorp 2013 Equity Incentive Plan (the “Prior
Plan”) on the Effective Date. The Company’s authority to grant new awards under the Prior Plan terminated upon shareholder
approval of the Plan on the Effective Date.

in the Company’s definitive proxy statement filed with the Securities and Exchange Commission (“SEC”) on March 28, 2022, as supplemented by definitive additional materials filed by the Company with the SEC on May 2, 2022 (collectively, the “Proxy
Statement”), which description is incorporated by reference herein. The foregoing description and the description incorporated by
reference from the Proxy Statement are qualified by reference to the full text of the Plan, a copy of which is filed as Exhibit 10.1
to this report.
