Explanation of Responses:
( 1)  Represents 500 shares of common stock (the "Sold Common Stock") sold on the open market for $62.75 per share on November 10, 2014. The Sold Common Stock was acquired by the Reporting Person through the exercise of stock options to purchase the Issuer's common stock. See Footnote 2 below for further details on the relevant stock options.
( 2)  Represents previously reported stock options to purchase 20,000 shares of the Issuer's common stock, granted to the Reporting Person under the Issuer's equity incentive plan, pursuant to a stock option agreement dated February 27, 2011, half of which will vest on August 27, 2011, and the remainder of which will vest on February 27, 2012.
