Item 1.01 Entry into a Material Definitive Agreement.

On December 8, 2021, Berry Corporation (bry) (the “Company” or “we”), as a guarantor, together with Berry Petroleum Company, LLC, our wholly-owned subsidiary (the “Borrower”), as the borrower, completed a borrowing base redetermination and entered into that certain First Amendment to Credit Agreement (the “First Amendment”), which amended that certain Credit Agreement dated as of August 26, 2021 among the Company, the Borrower, JPMorgan Chase Bank, N.A., as administrative agent (the “Agent”) and as an issuing bank, and the lenders party thereto (the “Credit Agreement”). The First Amendment, among other changes to the hedging covenants in the Credit Agreement described in the First Amendment, reaffirms the Borrower’s borrowing base at $200 million.
The foregoing description of the First Amendment and of the Credit Agreement is not complete and is qualified by reference to the full text of the First Amendment, which is attached hereto as an exhibit and incorporated herein by reference, and the Credit Agreement, which was filed as an exhibit to a Current Report on Form 8-K filed by the Company on August 27, 2021.
