Explanation of Responses:
1. On February 14, 2024, the Compensation Committee determined the performance restricted stock units, granted on March 11, 2021, vested at 110 percent of the performance target, based on the issuers achievement of the relevant performance conditions. The shares received were net of taxes withheld to cover the reporting persons tax liability. Cash was paid in lieu of fractional shares, in any.
