                            Director's Shareholding


The Board of VTR plc received notification today that on the 28 August 2003
Peter Newbald, a non-executive director, purchased 20,000 new ordinary shares in
the Company at a price of 62p per share.

Following this transaction Mr Newbald has a beneficial interest in 50,000
ordinary shares representing 0.45% of the current issued ordinary share capital
of the Company.
