Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 20, 2019, Smart Sand, Inc. (the “Company”) received a letter of resignation from Tracy Robinson indicating that she will be resigning, effective June 15, 2019, from her position on the Board of Directors of the Company (the “Board”), and from each of the Audit Committee of the Board (the “Audit Committee”), the Compensation Committee of the Board (the “Compensation Committee”) and the Nominating and Corporate Governance Committee of the Board. Ms. Robinson's resignation is not due to any disagreement with the Company's operations, policies or procedures. The Board is in the process of determining which independent director will join the Company’s Audit Committee and Compensation Committee upon Ms. Robinson’s resignation.
