NOTIFICATION OF MAJOR INTERESTS IN SHARES



Worldsec Limited (the "Company") refers to the announcement made on 8 December
2005, a copy of which is reproduced below:-



"Worldsec Limited (the "Company") was notified on 8 December 2005 that The Bank
of Tokyo-Mitsubishi, Ltd., ("BTM") disposed of 3,225,000 ordinary shares of
US$0.001 each in Worldsec Limited on 6 December 2005 representing approximately
24.1% of the ordinary shares in issue to Grand Acumen Holdings Limited.
Following the above disposal, BTM is no longer interested in any shares of
Worldsec Limited.



The Company was notified by Grand Acumen Holdings Limited ("GAH") that GAH, a
company incorporated in the British Virgin Islands with limited liability, is
equally ownedby Messrs Alec Tsui Yiu Wa, Yue Wai Keung, Li Song Xiao, Henry Ying
Chew Cheong.  While Messrs Tsui, Yue, and Li are independent third parties and
have no interests in the issued share capital of the Company before the above
acquisition by GAH, Mr Henry Ying Chew Cheong is currently Worldsec Limited's
Deputy Chairman and Non-executive Director and personally holds 950,000 ordinary
shares in the Company representing approximately 7.1% of the ordinary shares in
issue."



The Company was further notified by Grand Acumen Holdings Limited ("GAH") on 14
December 2005 that the price per share paid by GAH to The Bank of
Tokyo-Mitsubishi, Ltd. in the above acquisition was US$0.15.
