Circular and Prospectus to Shareholders, Warrantholders and CULS Holders posted


Further to the announcement earlier today regarding the proposed re-domicile to
Bermuda, associated capital re-organisation and the Placing and Offer to raise
up to #75 million, Utilico announces that the Circular and Prospectus have been
posted to Shareholders, Warrantholders and CULS Holders today.

Copies of the Circular and the Prospectus have been submitted to the UK Listing
Authority and will shortly be available for inspection at the UK Listing
Authority's Document Viewing Facility which is situated at: Financial Services
Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS, telephone 020
7066 1000.

Unless stated otherwise, terms defined in the Circular shall have the same
