COOPER (UK) GROUP plc ("Cooper UK", a wholly-owned subsidiary of Cooper
Industries, Inc.)

RECOMMENDED CASH OFFER FOR

TLG plc ("TLG")

LEVEL OF ACCEPTANCES AND LAPSE OF OFFER

Cooper UK announces that by 3.00pm on 25 September 1998 valid acceptances of
the Offer had been received in respect of 1,387,245 TLG shares, representing
approximately 0.74 per cent. of TLG's issued share capital. None of the
acceptances have been received from persons acting in concert with Cooper UK.

Since the commencement of the offer period Cooper UK has acquired 15,630,000
TLG shares, representing approximately 8.32 per cent. of TLG's issued share
capital. Accordingly, Cooper UK now either owns or has received acceptances
for a total of 17,017,245 TLG shares, representing approximately 9.06 per
cent. of TLG's issued share capital.

Cooper UK has not extended the Offer. Accordingly, the Offer lapsed at 3.00pm
on 25 September 1998.

Commenting on the decision to allow the Offer to lapse, H. John Riley, Jr.,
Chairman, President and Chief Executive Officer of Cooper said : "While we
believe that TLG fits strategically with Cooper, we have decided that
a higher bid for TLG would not provide the return we expect for our
shareholders. We remain committed to acquisitions as a vehicle for growth but
only if they meet our criteria for increasing shareholder value."
