          THE INNOVATION GROUP PLC ("TiG", "the Company" or "the Group")
                              DIRECTORATE CHANGES


On 4th February 2003 the Board of The Innovation Group announced its intention
to strengthen the Board through the addition of fully independent non-executive
directors. In keeping with this intention the Company is delighted to announce
the appointment of David Thorpe as non-executive director and chairman of the
remuneration committee with immediate effect. This progression of the Group's
Board structure will also see Rob Terry step down at the end of TiG's financial
year.



David, aged 53, recently retired from EDS where he had held a series of senior
positions culminating as the head of their European Business with responsibility
for operations in 20 countries and revenue of $4bn. Before joining EDS, David
was at Bull Information Systems, where he was a member of the UK Board and
Managing Director of Bull's largest operating unit, Systems Integration and
Services. He is a member of The Institute of Public Finance and Accountancy and
has 25 years experience in the IT software, services and outsourcing market.



Rob Terry, founder and former chairman and chief executive of TiG, who moved to
a non-executive role as vice chairman in February at the time of the Group's
rights issue, will relinquish his position on the Board on 30th September 2003.
Rob Terry will continue to make his services available to the Company, although
an agreement to conclude his existing two year consultancy agreement has been
reached under which he will receive payment for his services during the interim
period and a further payment following the end of the current financial year to
a maximum amount of #437,500 (representing the balance of his contractual
entitlement at that date).



The Board believes that these changes, together with the recent appointment of
Chris Banks as non-executive director on 1st June, bring highly desirable skills
and experience to The Innovation Group whilst reaffirming its commitment to
ensuring the fully independent nature of its non-executive directors.



The Board would like to thank Rob for his invaluable contribution since founding
the Company through to the present day and wishes him every success for the
future.



The Company intends to announce third quarter results on 7th August 2003.

During the last five years David has held directorships in EDS UK Limited,
Staffware Plc, VT Group Plc, Aruna Plc, Anite Plc and Torex Plc. Of these he
still holds directorships of Staffware Plc, VT Group Plc, Anite Plc and Torex
Plc. There is no further information in respect of David which is required to be
disclosed under sub-paragraphs 6.F.2.(b) to (g) of the Listing Rules.
