                           Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:

The Company's capital consists of 397,784,978 ordinary shares of 1p with voting
rights and 1,687,283,244 deferred shares of 1p to which no voting rights attach.
Therefore, the total number of voting rights in the company is 397,748,978.

The above figure (397,748,978) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Tadpole Technology plc
under the FSA's Disclosure and Transparency Rules.
