Non-Executive Directors Changes
The Sage Group plc. ("Sage") is pleased to announce the
appointment of Annette Court and Jonathan Bewes to its Board as
non-executive directors with effect from 1 April 2019. Upon
appointment, Ms Court will become Chair of the Remuneration
Committee and a member of the Audit and Risk Committee. Upon
appointment, Mr Bewes will become Chair of the Audit and Risk
Committee.
Ms Court has been Chairman of Admiral Group since 2017 and a
board member since 2012. Between 2007 and 2010 she was CEO of
Europe General Insurance for Zurich Financial Services. Ms Court is
former CEO of the Direct Line Group (formerly known as RBS
Insurance) and has previously served as a member on the Board of
the Association of British Insurers (ABI). She was a non-executive
director of Foxtons Group plc from August 2013 to May 2017. She
currently holds the position of non-executive director of Jardine
Lloyd Thompson Group plc and is also its Senior Independent
Director.
Mr Bewes qualified as a Chartered Accountant with KPMG and spent
25 years in investment banking, with Robert Fleming, UBS and Bank
of America Merrill Lynch. As a senior banker, he has provided
advice to the boards of many UK and overseas companies on a wide
range of financial, strategic and governance issues. Since April
2017, he has been Vice Chairman, Corporate and Institutional
Banking at Standard Chartered Bank. Jonathan is a Fellow of the
Institute of Chartered Accountants of England and Wales. He has
been a member of the Board of Next plc since October 2016 and
chairs its Audit Committee.
Neil Berkett has indicated his desire to retire from his
position as a non-executive director of Sage and as Chair of the
Audit and Risk Committee and will step down from the Board on 1
April 2019. Mr Berkett joined the Board in 2013. Drummond Hall will
continue as Senior Independent Director, whilst handing over his
Remuneration Committee role to Annette Court on 1 April 2019.

a new perspective to the Board to help drive the continued

has served Sage through a period of extraordinary change and
throughout this time has provided valuable insight and guidance to
the Board. I wish to thank him for his service. I am also delighted
that Drummond Hall remains as SID."
There are no further disclosures required for the purposes of
Listing Rule 9.6.13.
