                          Issue of subscription shares

Following the circular posted to the shareholders on 30 October 2002, the
Company today held a board meeting to consider and approve the issue of
subscription shares to the subscribers as set out in the table below.

There remain two sums of money from two individual subscribers outstanding.
However, the directors are firmly of the belief and have been given written
assurances by the two individual subscribers, that the money due will be
received within the next three weeks.  Consequently the directors have resolved
to conditionally allot shares to both subscribers pending receipt of the
subscription monies.

In consequence, an application has been made today for 93,979,751 shares to be
admitted to trading on AIM.  A further application will be made for 12,138,833
shares to be admitted to trading on AIM on receipt of the outstanding
subscription monies.
