                              Employee Benefit Trust

Parkwood Holdings plc announces that Parkwood Group Trustees Limited, the
corporate trustee for the Parkwood Group Employee Benefit Trust, transferred
14,000 ordinary shares (representing 0.1 per cent of the Company's issued
share capital) in Parkwood Holdings plc to employees under a Group wide staff
loyalty scheme on 31 January 2001. The shares were transferred free of charge
to the employees concerned. As a result of this transaction, Parkwood Group
Trustees Limited now holds 920,000 shares in Parkwood Holdings plc,
representing 4.30% of the issued ordinary share capital.
