DIRECTORS' INTEREST - PURCHASE OF SHARES UNDER EMPLOYEE SHARE INCENTIVE PLAN
On 9 January 2003, the following directors purchased ordinary shares of 10 pence each under the rules of the
PizzaExpress Employee Share Incentive Plan ("the Plan"), an Inland Revenue approved all employee share purchase plan.

Each director was also allocated 37 ordinary shares under the matching rules of the Plan, at a price of 335 pence per
share, the beneficial ownership of which will pass to them in three years' time, subject to continuing employment with
the Company and retention of the purchased shares.
On 9 January 2003, the PizzaExpress PLC UK Employee Benefit Trust purchased a total of 4,763 ordinary shares, and
awarded 6,283 ordinary shares to employees at the above price. Nigel Colne, Paul Campbell and John Metcalf are trustees
of the Employee Benefit Trust, and therefore have a non-beneficial interest in these shares.
