Result of General Meeting

Premier Foods plc (the "Company") announces that at the General Meeting held today at the Company's offices, Premier House, Centrium Business Park, Griffiths Way, St Albans, Hertfordshire, AL1 2RE, the ordinary resolution regarding the proposed disposal of the sweet pickles and table sauces business, as set out in the circular sent to shareholders on 30 November 2012 (the "Resolution"), was duly passed on a poll vote.

The table below shows the votes received for and against the Resolution, representing a total of 62.56 per cent. of the 239,806,206 ordinary shares in issue as at the date of the meeting.
