In respect of the Company's Scrip Dividend Scheme, elections have been received
in respect of 2,040,127 Ordinary 10p Shares and 4,863,906 Convertible Redeemable
Preference 100p shares.



In order to satisfy these scrip dividend elections, 83,166 Ordinary 10p shares
and 151,475 Convertible Redeemable Preference 100p shares have been purchased in
the market at 79p and 93p respectively on 20/02/02.



The number of shares in issue remains 57,583,795 Ordinary 10p shares and
10,945,262 Convertible Redeemable Preference 100p shares.
