AGM Statement

Directorate Change

At today's Annual General Meeting of Lennox Holdings plc, Mr Rolf Silver,
Finance Director having retired by rotation has decided not to offer himself
for re-election and has resigned from the company with immediate effect. Mr
Silver wishes to focus on other interests and the board wishes him well for the
future.

All other resolutions were passed.

The business continues to make progress with both sales and margins improving.
We will update shareholders further at the time of our interim results, the
date of which we will confirm shortly.
