           Leisure & Gaming plc ("Leisure & Gaming" or the "Company")

  Completion of the acquisition of VIP Management Services (the "Acquisition")


The board of Leisure & Gaming is pleased to announce that, following the
approval by Leisure & Gaming shareholders at the extraordinary general meeting
of the Company on 24th June 2005 and the readmission of the entire issued share
capital of Leisure & Gaming (both in issue and issued in connection with the
Acquisition) to trading on AIM today, the Acquisition and its associated
fundraising is unconditional ("Completion").


Following Completion, the Company has 30,504,829 ordinary shares of 25p each in
issue.


On Completion, Alistair Assheton and Peter Blacker joined the board of Leisure &
Gaming as, respectively, Chief Executive and Finance Director. In addition,
Giles Willits has joined the board as a Non-Executive Director with effect from
today. Henry Birch has resigned from the board with effect from today.


Altium is acting as nominated adviser and broker to Leisure & Gaming. Marwyn
Capital Limited is acting as financial adviser to Leisure & Gaming.
