  Ingenious Entertainment VCT 1 plc andIngenious Entertainment VCT 2 plc 

  Offer for Subscription for D Shares 

  Copies of the documents below have been submitted to the UK Listing Authority and will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility: 

  (i) A Prospectus (comprising of Securities Note, Share Registration Document and Summary) regarding an offer for subscription ("the Offer") of up to, in aggregate, 10,000,000 D ordinary shares of 1p each ("D Shares") comprising up to 5,000,000 D Shares in the share capitals of each of Ingenious Entertainment VCT 1 plc and Ingenious Entertainment VCT 2 plc at an offer price of 100p per D Share, together with an over-allotment facility of up to, in aggregate, a further 10,000,000 D Shares comprising up to 5,000,000 D Shares in the share capitals of each of Ingenious Entertainment VCT 1 plc and Ingenious Entertainment VCT 2 plc at an offer price of 100p per D Share. 

  (ii) A Circular to shareholders of Ingenious Entertainment VCT 1 plc and Ingenious Entertainment VCT 2 plc in connection with the Offer and amendments to their Articles of Association. 

  The Offer will open at 8am on 17 November 2009 and is expected to close no later than 3pm on 3 April 2010, unless previously extended.
