Result of General Meeting
Further to the Company's announcements of 2 November 2020 and 24
November 2020 (the "Announcements"), Helios, the unique investment
vehicle which acquires and consolidates underwriting capacity at
Lloyd's, announces that all Resolutions put to Shareholders at the
General Meeting held earlier today were duly passed.
Application has therefore been made for, in aggregate,
15,540,439 New Ordinary Shares to be admitted to trading on AIM
comprising 6,372,850 Placing Shares, 3,125,000 Subscription Shares,
5,789,746 Consideration Shares and 252,843 of the Open Offer Shares
for which valid applications were received under the Open Offer.
Admission is expected to occur at 8.00 am on 27 November 2020.
Transaction in Own Shares
Following the Company's acquisition of N. J. Hanbury Limited
("NJH"), the 6,291 Ordinary Shares that were owned by NJH have been
transferred to treasury for no consideration.
Total Voting Rights
Following Admission and transfer of the above 6,291 Ordinary
Shares to treasury, the Company will have 33,512,176 Ordinary
Shares in issue admitted to trading on AIM (excluding the 419,169
Ordinary Shares held in treasury and which do not carry voting
rights). This figure may be used by Shareholders as the denominator
for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest
in, the Company under the Financial Conduct Authority's Disclosure
Guidance and Transparency Rules.
