ATTENTION
Dublin, London, 20 April 2020 | Greencoat Renewables PLC
("Greencoat Renewables" or the "Company"), on 20 March 2020, posted
Notice of its Annual General Meeting ("AGM") to be held at Davy
House, 49 Dawson Street, Dublin 2, Ireland at 2.00 p.m. on 29 April
2020 (the "Notice").
The Irish Government and Health Services Executive ("HSE") have
since announced further mandatory measures to reduce the
transmission of COVID-19. These include requiring people to stay at
home, except for very limited purposes; and stopping all gatherings
of more than two people in public. The Board fully supports these
measures to protect public health and safety.
Revised Arrangements
As it is no longer permissible to hold the AGM in the way that
the Board had planned, the AGM will instead be convened at the
offices of Greencoat Capital LLP at 51A Dawson Street, Dublin, D02
TV77, with the minimum necessary quorum of two shareholders present
in order to conduct the business of the meeting. All valid proxy
votes on the proposed Resolutions will be included in the voting
and the results of the meeting will be announced, in the normal
way, as soon as practicable after the conclusion of the AGM.
The AGM will be recorded and an audio cast of the meeting will
be available for shareholders to listen to subsequently on the
Company website at: https://www.greencoat-renewables.com/ .
Voting by proxy and not in person
As physical attendance at the AGM will not be permissible,
shareholders who wish to register their votes on the Resolutions to
be put to the AGM should do so by completing and signing the proxy
form that accompanied the 2020 AGM Notice, by using
www.eproxyappointment.com or appointing a proxy electronically if
their shares are held in CREST in accordance with the instructions
printed on the proxy form. Please return your forms as soon as
possible and, in any event, prior to 2.00 p.m. on 27 April 2020 or
not less than 48 hours before the time of the meeting of any
adjourned meeting.
If you do not have a proxy form and believe that you should have
one, or if you require additional forms or have any additional
queries on voting, please contact our Registrar using the details
set out below and in Page 10 of the Notice:

The Board considers that all the Resolutions to be put to the
meeting are in the best interests of the Company and its
shareholders as a whole and unanimously recommends that
shareholders vote in favour of all the Resolutions, as the
Directors intend to do so in respect of their own beneficial
holdings.
As the situation in relation to COVID-19 continues, the Company
will continue to monitor developments, including any regulatory
changes. If it becomes necessary or appropriate to further revise
the arrangements for the AGM, further announcements will be made
and information will be made available on our website at:

Shareholder Engagement
The Board considers that beyond voting on the formal business of
the meeting, the AGM also serves as a forum for shareholders to
raise questions and comments on any of the Resolutions to the
Board. Registered shareholders may submit such questions by email
to: 2020AGM@greencoatrenewables.com by 2.00 p.m. on 27 April 2020
and can be assured that all questions will receive a response prior
to and/or at the meeting.
