Gooch & Housego plc ("the Company") hereby confirms that it was informed on 20
May 2002 by The Gooch Charitable Trust (Ilminster) ("the Trust") that it bought
37,000 shares in the Company on 15 May 2002 at a price of 109 pence per share.

The Trust was set up in January 1998 with a donation, by Mrs H Virgin, of
300,000 ordinary shares in the Company.  The trustees include Mrs H Virgin and
AW Gooch who are respectively a Director and Executive Chairman of the Company.

The objects of the Trust are to hold the fund and its income for the benefit of
the town of Ilminster in Somerset.  In particular, the Trust is to preserve and
maintain, for the benefits of the public, the Parish Church of St Mary's and to
support other local charities.  Neither Mrs H Virgin nor AW Gooch are
beneficiaries of the Trust.

Following the purchase, The Gooch Charitable Trust (Ilminster) holds 277,000
ordinary shares representing 1.54% of the total issued share capital of the
Company.
