The  directors  of Downing Healthcare VCT PLC (the  "Company")
announce  that  the Company has purchased  a  total  of  4,500
ordinary shares of 50p each for cancellation.  2,500 of  these
shares  were  purchased on 8 July 1999 at 75p and  2,000  were
purchased on 28 June 1999 at 80p.
