Exercise of warrants

Cyan Holdings plc (AIM:CYAN.L), the integrated system and software design company delivering mesh based flexible wireless solutions for utility metering and lighting control announces that it will be issuing 2,093,000 Ordinary Shares of 0.01p each following the exercise of warrants. These form part of the Placing Warrants approved by shareholders at the General Meeting of the Company in August 2012, and are at a price of 0.5 pence per share. The proceeds from this exercise of warrants will be used, along with proceeds of all other warrant exercises, to provide the Company with additional working capital funds to finance expansion of the business in 2013.

Application has been made for these Ordinary Shares to be admitted to trading on AIM which is expected to occur on 13 November 2012.

Following the issue of these Ordinary Shares, the Company's issued share capital will be 2,293,249,347 ordinary shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
