                                 Board Changes

Extraordinary General Meeting

At  the  extraordinary  general meeting held earlier  today,  shareholders  of
Inspec  Group  plc ("Inspec") voted overwhelmingly in favour of  the  proposed
disposal of Inspec Belgium to Ineos plc.

BT  Alex. Brown, which is lead managing Ineos plc's bond issue to finance  the
acquisition, has confirmed in writing that the marketing of the bond issue  to
international  investors has proceeded satisfactorily.   The  bond  issue  was
priced  on  28th April, 1998 and BT Alex. Brown and its co-managers  have  now
entered  into a note purchase agreement with Ineos plc under which  they  have
committed to provide the funds from the bond issue to complete the acquisition
of  Inspec  Belgium  on  5th  May, 1998, subject  to  satisfaction  of  normal
conditions  precedent.   Accordingly, Inspec has  agreed  that  the  date  for
completion of the disposal will be 5th May, 1998.

Annual General Meeting

At  today's annual general meeting, shareholders of Inspec approved all of the
resolutions proposed.

Board changes

At  the  close  of  the annual general meeting, Sir Charles  Tidbury  and  Dr.
William  Chambless retired from the Board.  Peter Savage has assumed the  role
of Non-Executive Deputy Chairman.

James  Ratcliffe will resign from the Board on completion of the  disposal  of
Inspec Belgium.
