                           CEDAR BOARD APPOINTMENTS


Cedar Group Plc, the UK based software and services company, has appointed
John Stanley, one of the most senior international executives from IBM and the
former president of Lexmark Europe, as non-executive Chairman.  Cedar has also
appointed Lesley Knox, former head of institutional asset management at
Kleinwort Benson Investment Management as a non-executive Director.  Brian
Wilson stands down as Acting Chairman and will be leaving the board with
immediate effect.

These senior appointments are made at an important point of Cedar's
development, and follow the company's successful completion of the #51m
purchase of US-based Enterprise Systems Group ("ESG") on 20th October. With
the acquisition complete, Cedar has transformed its standing in the key US
market and built a global network of offices capable of serving multinational
clients.  Through purchasing ESG, Cedar has doubled its headcount to 1,500 and
the integration of the two businesses will be its next imperative.

John Stanley will play an important role in supporting Mike Harrison in the
global integration of ESG and will help the Cedar board develop the company
strategy.  John's extensive international experience, gained from his 23 years
at IBM, will be invaluable in driving the globalisation of Cedar's business.

John Stanley's time at IBM was spent working across the business in a number
of international general management roles in Sales, Services, Marketing and
Personnel.  From 1986 Mr Stanley was on the Board of IBM EMEA (Europe, Middle
East & Africa) which employed over 100,000 people, over 65,000 of which were
under John's operational management.

John left IBM in 1991 to set up Lexmark Europe, the global developer,
manufacturer and supplier of printing solutions and products, where he was
President of European Operations from its foundation until April 1998.  During
his tenure the company grew its European annual revenues to over $1 billion.

John is currently a non-executive Director of Complete Business Solutions Inc.
(a NASDAQ quoted international solutions business with revenues of over $500m)
and Lexmark UK.  He has a Master of Arts degree from Fitzwilliam College,
Cambridge University and also holds a Diploma of Personnel Management from the
London School of Economics.

Lesley Knox, who is joining Cedar Group as a non-executive Director, brings
considerable experience to the Group.  She is a qualified Solicitor and an
Attorney and has spent over twenty years working in the City, primarily at
Dresdner Kleinwort Benson where, in 1996, she became a Group Director.  As
Group Director, Lesley was responsible for high level support and advice for
clients as well as being involved in the development of Dresdner Kleinwort
Benson's strategic direction.

Prior to holding the position of Group Director, from 1991 to 1996, Lesley was
Head of Institutional Asset Management at Kleinwort Benson Investment
Management.  This role involved responsibility for international funds under
management of over #9 billion.  From 1981 to 1991 Lesley was in the Corporate
Finance Division of Dresdner Kleinwort Benson where she was instrumental in
completing a number of major transactions including the flotation of British
Gas, the merger of Smith Kline and Beecham and the flotation of Abbey
National.

In 1999 Lesley left Dresdner Kleinwort Benson and was a founder Director and
investor in British Linen Advisers, a specialist merchant bank providing
independent strategic and financial advice to growth companies.  As well as
holding the position of Deputy Governor of The British Linen Bank, Lesley is a
non-executive Director of a number of UK companies including Bank of Scotland,
Thames Water and Scottish Provident.
