Exercise of Options

   --      Long Term Incentive Scheme ("LTIS")

The Company has received notice that Andrew Shepherd and an employee have exercised share options in accordance with the rules of the 2010 and 2011 LTIS schemes.

No new ordinary shares have been issued to satisfy the LTIS awards. Following the exercise of options, the Brooks Macdonald Group Employee Benefit Trust (the "EBT") has transferred 3,321 ordinary shares to satisfy the awards. Following this transfer the EBT now holds 212,671 ordinary shares, representing 1.6% of the Company's current voting rights.

   --      Enterprise Management Incentive Scheme ("EMI")

Employees and directors have exercised options over 29,500 shares in accordance with the rules of the EMI. The Company has made an application to the London Stock Exchange for 29,500 new ordinary shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on 10 April 2015.

The options were exercised at the following prices:

-- 25,000 options were exercised at a price of GBP1.555;

-- 2,000 options were exercised at a price of GBP2.15; and

-- 2,500 options were exercised at a price of GBP2.905 per share.

Nick Holmes has exercised options over 15,000 shares at an exercise price of GBP1.555 per share.

Following this notification, the Company has 13,623,329 ordinary shares in issue.

Directors' Dealings

As mentioned above, Andrew Shepherd has exercised LTIS options over 2,095 shares which were sold on 02 April. Andrew Shepherd also transferred 2,673 shares into his SIPP and his wife sold 1,000 shares on 02 April.

Nick Holmes has exercised EMI options over 15,000 shares at an exercise price of GBP1.555 per share. He and his wife have each sold 800 shares today.

Simon Jackson transferred 21,750 shares to his wife on 01 April 2015. Mrs. Jackson sold 983 shares and re-purchased via her ISA on 02 April and sold 1,000 shares and re-purchased via her ISA today. Simon's total holding remains unchanged post transfers.

Richard Spencer transferred 3,000 shares from a SIPP to an ISA on 01 April 2015. Richard's total shareholding remains unchanged post transfer.
