NOTIFICATION OF INTEREST IN THE SHARES OF ACORN GROUP PLC

In accordance with Sections 198(1) and 208(2) of the Companies Act 1985 we write
to advise you of the following holdings in the shares of your Company:

    Beneficial Owner: Shell Contributory Pension Fund       4,675,000

    Beneficial Owner: Irish Shell Contributory Pension Fund   100,000

Shell Pensions Trust Limited is the trustee of the Shell Contributory Pension
Fund and Irish Shell Trust Limited is the trustee of the Irish Shell
Contributory Pension Fund.  These Trustee companies are wholly owned
subsidiaries of The Shell Petroleum Company Limited so as to fall within the
provisions of Section 208 (2) of the Companies Act 1985.

On the basis of our information we understand that the interest referred to
above amount to 5.24% of the total issued ordinary share capital of Acorn Group
Plc, as at 12 November 1997.
